These Terms of Service ("Terms") govern your access to and use of PayFix ("PayFix", "we", "us"). By creating an account or connecting your Stripe account, you agree to these Terms.

1. The service

PayFix is automation software that helps Stripe-connected businesses recover failed subscription and one-time payments via configurable dunning sequences, retry scheduling, and recovery analytics.

PayFix is software, not a payment processor. All payments are processed by Stripe under your existing Stripe agreement. We never touch card data.

2. Your account

You must be 18+ and authorized to bind any business you represent.
You are responsible for keeping your credentials and connected Stripe account secure.
You are responsible for all activity that occurs under your account.

3. Your responsibilities

You — not PayFix — are responsible for the legality and content of communications sent to your customers. This includes, without limitation:

Compliance with applicable consumer protection, anti-spam, and unfair-trade laws (e.g. CAN-SPAM, GDPR, CASL, ePrivacy).
The accuracy of dunning email templates, branding, and any pricing or refund statements you configure.
Honoring your own subscription terms, refund policies, and cancellation requests.
Maintaining a lawful basis to contact end-customers about overdue invoices.
Disclosures you may owe to customers about the use of third-party software in your billing flow.

You agree not to use PayFix to harass customers, send misleading messages, attempt unauthorized charges, or pursue debts you do not lawfully own.

4. Billing

PayFix is offered on a paid subscription basis. Pricing is shown on our Pricing page.
Subscriptions renew automatically until canceled. You can cancel anytime from your account settings.
Refunds are issued at our discretion, typically pro-rata for service outages caused by us.
Fees are exclusive of taxes; you are responsible for any taxes due in your jurisdiction.

5. Stripe and third parties

Your use of PayFix requires connecting a Stripe account. Stripe's own terms apply to your use of Stripe. PayFix is not affiliated with, endorsed by, or sponsored by Stripe, Inc. beyond our integration via Stripe's public APIs and Stripe App Marketplace.

6. Acceptable use

You agree not to:

Reverse engineer, decompile, or attempt to extract our source code.
Use PayFix to send unsolicited bulk messages or content unrelated to legitimate billing.
Interfere with the security or integrity of PayFix or its users.
Use PayFix to violate any law or third-party right.

7. Intellectual property

PayFix retains all rights, title, and interest in the service, including software, design, and documentation. You retain all rights to your data, templates, and customer information; you grant us a limited license to process them solely to operate the service for you.

8. Disclaimers

PayFix is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied. We do not guarantee any specific recovery rate or revenue outcome. Recovery results depend on your customer base, failure reasons, and many factors outside our control.

9. Limitation of liability

To the maximum extent permitted by law, PayFix's total aggregate liability for any claim arising out of or relating to these Terms or the service is limited to the greater of (a) the fees you paid to PayFix in the 12 months preceding the claim, or (b) USD $100. PayFix is not liable for indirect, incidental, consequential, special, or punitive damages, including lost revenue or lost recovered payments.

10. Indemnification

You agree to indemnify and hold PayFix harmless from any claim by a customer, regulator, or third party arising from (a) your dunning content or strategy, (b) your underlying subscription or sales agreement, or (c) your violation of these Terms or applicable law.

11. Termination

You may cancel anytime. We may suspend or terminate your account for violations of these Terms, non-payment, or activity that poses legal or operational risk. On termination, your access ends and your data is handled per our Privacy Policy.

12. Changes

We may update these Terms. Material changes will be announced via email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction where PayFix is incorporated, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction, unless local consumer-protection law requires otherwise.
